TERMS AND CONDITIONS OF THE ONLINE STORE orionagd.pl

    1. Definitions

      Terms used in these Terms and Conditions shall mean:

      1. Customer – a natural person, legal person, or organizational unit without legal personality to which specific provisions grant legal capacity, who places an Order through the Store;
      2. Consumer – a Customer who is a natural person and meets the criteria set out in the definition under Article 22[1] of the Civil Code. According to this definition, a Consumer is a natural person who enters into a legal transaction with an entrepreneur that is not directly related to their business or professional activity.
      3. Civil Code – the Act of 23 April 1964 (Journal of Laws No. 16, item 93, as amended);
      4. Terms and Conditions – these Terms and Conditions for the provision of electronic services within the orionagd.pl online store;
      5. Online Store (Store) – the website available at orionagd.pl, through which the Customer may, in particular, place Orders;
      6. Goods – products presented in the Online Store;
      7. Sales Agreement – an agreement for the sale of Goods within the meaning of the Civil Code, concluded between Grupa Orion Sp. z o.o. and the Customer, concluded using the Store's website;
      8. Consumer Rights Act – the Act of 30 May 2014 on Consumer Rights (Journal of Laws of 2014, item 827);
      9. Act on the Provision of Electronic Services – the Act of 18 July 2002 on the Provision of Electronic Services (Journal of Laws No. 144, item 1204, as amended);
      10. Order – a declaration of intent by the Customer aimed directly at concluding a Sales Agreement, specifying in particular the type and quantity of Goods.
    2. General Provisions
      1. These Terms and Conditions set out the rules for using the online store available at: orionagd.pl, and constitute the terms and conditions referred to in Article 8 of the Act on the Provision of Electronic Services.
      2. The online store operating at: orionagd.pl is run by Grupa Orion Sp. z o.o. with its registered office in Katowice (40-335), ul. Obrońców Westerplatte 73a, Tax ID (NIP): 9542778605, Statistical Number (REGON): 367497128, with share capital of PLN 210,000.00, represented by Adrian Łukasz Ptasiński, entered into the register of entrepreneurs of the National Court Register kept by the District Court Katowice-Wschód in Katowice, 8th Commercial Division of the National Court Register, under KRS number 0000681897.
      3. These Terms and Conditions set out, in particular:
        1. the rules for registering and using an account within the online store;
        2. the terms and rules for making electronic reservations of products available within the online store;
        3. the terms and rules for placing Orders electronically within the online store;
        4. the rules for concluding Sales Agreements using the services provided within the online store.
      4. Using the online store is possible provided that the IT system used by the Customer meets the following minimum technical requirements:
        1. The minimum technical requirements for using the Store's Website are a web browser of at least Internet Explorer 11, Chrome 39, Firefox 34, Opera 26, or Safari 5 or newer, with JavaScript support enabled,
        2. a minimum screen resolution of 1024x768 pixels.
      5. In accordance with applicable law, Grupa Orion Sp. z o.o. reserves the right to limit the provision of services through the Online Store to persons who are at least 18 years of age. In such a case, potential Customers will be notified accordingly.
      6. Customers may access these Terms and Conditions at any time via the link provided on the homepage of orionagd.pl and may save and print its contents.
    3. Rules for Using the Online Store
      1. In order to ensure the security of the transmission of messages and data in connection with the services provided through the Website, the Online Store takes technical and organizational measures appropriate to the degree of security risk of the services provided, in particular measures to prevent unauthorized persons from obtaining or modifying personal data transmitted over the Internet.
      2. The Customer is obliged to:
        1. refrain from providing or transmitting content prohibited by law, e.g. content promoting violence, defamatory content, or content violating the personal rights and other rights of third parties,
        2. use the online store in a manner that does not disrupt its functioning, in particular by using specific software or devices,
        3. use the online store in accordance with the law applicable in the territory of the Republic of Poland, the provisions of these Terms and Conditions, and the general rules for using the Internet.
    4. Procedure for Concluding a Sales Agreement
      1. Information about Goods provided on the Store's website, in particular their descriptions, technical and functional parameters, and prices, constitutes an invitation to conclude an agreement within the meaning of Article 71 of the Civil Code.
      2. In order to conclude a Sales Agreement through the Online Store, the Customer should visit the website orionagd.pl, make a selection, and proceed with the subsequent technical steps based on the messages displayed to the Customer and the information available on the website.
      3. The Customer selects the Goods to be ordered by adding them to the cart.
      4. While placing an Order – up until clicking the "Order with obligation to pay" button – the Customer may modify the data entered and the Goods selected. To do so, the Customer should follow the messages displayed and the information available on the website.
      5. After the Customer using the online store provides all the necessary data, a summary of the Order placed will be displayed. The order summary will include information regarding:
        1. the subject of the order,
        2. the unit price and total price of the products or services ordered, including delivery costs and any additional costs (if applicable),
        3. the selected payment method,
        4. the selected delivery method,
        5. the delivery time.
      6. In order to submit the Order, it is necessary to provide the personal data marked as mandatory and to click the "Order with obligation to pay" button.
      7. Submission of the Order by the Customer constitutes a declaration of intent to conclude a Sales Agreement with Grupa Orion Sp. z o.o., in accordance with the provisions of these Terms and Conditions.
      8. After placing the Order, the Customer receives an e-mail titled "OrionAGD.pl - Order receipt confirmation," containing the final confirmation of all essential elements of the Order.
      9. The Agreement is deemed concluded at the moment the Customer receives the e-mail referred to above.
      10. The Agreement is concluded in the Polish language. The recording, securing, and provision of the Order data and the general terms (the Online Store's Terms and Conditions) is carried out via e-mail.
    5. Delivery
      1. Delivery of Goods is limited to the territory of the Republic of Poland and is carried out to the address indicated by the Customer when placing the Order.
      2. Delivery of the ordered Goods is carried out by courier shipment provided by GLS (General Logistics Systems Poland Sp. z o.o) or by delivery to a selected parcel locker provided by InPost (InPost S.A.). Delivery costs are listed on the "Payment and Delivery Methods" page. Delivery costs will also be indicated when placing the Order.
      3. The order processing time is up to 24h on business days from the moment the order is placed, and the courier delivery time is 2-3 business days.
    6. Prices and Payment Methods
      1. Prices of Goods are given in Polish złoty and include all components, including VAT.
      2. The Customer may pay the price by:
        1. bank transfer to account number 75 1140 2004 0000 3102 7700 9527,
        2. payment via fast online payments IAI Pay (provided by IAI S.A.),
        3. cash on delivery handled by the delivering courier companies (InPost S.A., General Logistics Systems Poland Sp. z o.o., DHL Parcel Polska Sp. z o.o. or DPD Polska Sp. z o.o.)

    1. Right to Withdraw from the Agreement
      1. A Customer who is a Consumer has the right to withdraw from the agreement within 30 days. The Consumer has the right to withdraw from this agreement within 30 days without giving any reason. The withdrawal period expires after 30 days from the day on which you took possession of the goods, or on which a third party other than the carrier and indicated by you took possession of the goods.
      2. To exercise the right of withdrawal, you must inform us, Grupa Orion Sp. z o.o., Wiejska 49, 41-253 Czeladź, sklep@orionagd.pl, of your decision to withdraw from this agreement by means of an unambiguous statement, by clicking the "I want to return the product" button, filling in the form, and clicking the "Submit return request" button.
      3. The "I want to return the product" button is available in the website footer and in the mobile app footer, and in the case of an unpaid/unshipped order, directly on the order details page.
      4. You may use the model withdrawal form, although this is not obligatory. You may also fill in and submit the withdrawal form or any other unambiguous statement electronically on our website https://orionagd.pl/. If you use this option, we will promptly send you confirmation of receipt of the withdrawal notice on a durable medium (for example, by e-mail).
      5. To meet the withdrawal deadline, it is sufficient for you to send information regarding the exercise of your right of withdrawal before the withdrawal period has expired.
    2. The Consumer's right to withdraw from the agreement is excluded in the case of:
      1. an agreement in which the price or remuneration depends on fluctuations in the financial market that are beyond the trader's control and that may occur before the expiry of the withdrawal period,
      2. an agreement in which the subject of performance is a non-prefabricated item, manufactured according to the consumer's specifications or intended to meet their individualized needs,
      3. an agreement in which the subject of performance is an item that deteriorates quickly or has a short shelf life,
      4. an agreement in which the subject of performance consists of items that, after delivery, are inseparably combined with other items due to their nature
    3. Effects of Withdrawal from the Agreement
        1. If you withdraw from this agreement, we will reimburse all payments received from you for the purchase of the goods promptly, and in any case no later than 14 days from the day on which we are informed of your decision to exercise the right of withdrawal from this agreement. We will make the reimbursement using the same payment method that you used for the initial transaction, unless you have expressly agreed otherwise.
        2. We may withhold reimbursement until we have received the goods back or until you have supplied us with evidence of having sent them back, whichever event occurs first.
        3. Please send back or hand over the goods to us promptly, and in any case no later than 30 days from the day on which you informed us of your withdrawal from this agreement. The deadline is met if you send back the goods before the 30-day period has expired.
        4. You will have to bear the direct cost of shipping the returned goods. You can find the shipping cost price list on the website of the courier company you have chosen. The estimated cost of shipping the goods ranges from PLN 12 to PLN 80 gross.
        5. Information on consumer liability: You are only liable for any diminished value of the goods resulting from handling them in a way other than what was necessary to establish the nature, characteristics, and functioning of the goods.
    4. Complaints Regarding Goods
      1. Grupa Orion Sp. z o.o., as the seller, is liable to the Customer who is a Consumer within the meaning of Article 22[1] of the Civil Code, under the statutory warranty for defects to the extent specified in the Civil Code, in particular in Article 556 and Articles 556[1] - 556[3] and the following articles of the Civil Code.
      2. Complaints resulting from violations of statutorily guaranteed rights, or under these Terms and Conditions, should be sent to sklep@orionagd.pl. The seller undertakes to review each complaint within 14 days.
    5. Complaints Regarding the Provision of Electronic Services
      1. The Online Store takes steps to ensure the fully correct operation of the service and the store's websites, to the extent resulting from current technical knowledge, and undertakes to remove, within a reasonable time, any technical irregularities reported by Customers.
      2. The Customer may report irregularities related to the functioning of the service and the store's websites in writing to: Wiejska 49, 41-253 Czeladź, by e-mail to sklep@orionagd.pl, or by using the contact form available on the website.
      3. In the complaint, the Customer should describe the type and date of occurrence of the irregularity related to the functioning of the Store.
    6. Dispute Resolution and Final Provisions
      1. A Customer who is a Consumer may, if interested, use out-of-court methods of handling complaints and pursuing claims. Disputes concerning online purchases may be resolved through mediation proceedings before the Provincial Trade Inspectorates or proceedings before the arbitration court at the Provincial Trade Inspectorate. The Consumer may also use other out-of-court dispute resolution methods, for example by filing a complaint via the EU's online ODR platform, available at: http://ec.europa.eu/consumers/odr/
      2. In matters not regulated by these Terms and Conditions, the provisions of the Civil Code, the Act on the Provision of Electronic Services, and other relevant provisions of Polish law shall apply.
Instructions for completing point "Right to withdraw from the agreement":

A consumer making a purchase in an online store must be informed, before placing the order, both of their right to withdraw from the agreement and of the exceptional situations in which this right is excluded (Article 12, points 9–12 of the Consumer Rights Act). This information (with the exception of information on the lack of a right of withdrawal) may be provided using the model withdrawal instructions set out in Annex 1 to the Consumer Rights Act. A trader who provides the consumer with correctly completed instructions fulfills the information obligations specified in Article 12(1), points 9–11 of the Act.
